Software you need: FlashFXP
Download FlashFXP and install.

There are a total of nine situations that can be set individually...
For each case when:
1. Downloading
2. Uploading
3. FXP (Site to Site)
there is an option for when the file to be replaced is:
1. Smaller than
2. Same size as
3. Larger than
the file that is to be transferred.
In each of these cases FlashFXP can be set to:
Ask: FlashFXP will bring up a new dialog "Confirm File Replace" that prompts for which action to take.
Auto Overwrite: The existing file will be automatically replaced by the transferred file.
Auto Skip: FlashFXP will automatically skip to the next file to be transfered. The existing file will not be changed.
Auto Resume: Autmatically resume the transfer of the file.
This option assumes that the existing file is an incomplete transfer and is only available when the existing file is smaller than the file to be transferred. This option will have the effect of an overwrite if the two files have the same name but different contents.
Auto Rename
If the file was named file.txt, then the transferred file will have it's name extended with a parenthesized number.
The existing file will not be changed.
Example: a file named file.txt will be named file(1).txt on the sever
